Welcome to MLM Bazaar ("we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website (https://www.mlmbazaar.com), software applications, custom compensation plan setups, white-label MLM software, direct-selling ecommerce engines, managed hosting, and technical implementation services (collectively, the "Services").
By accessing our Services, requesting a custom demo, submitting a payment, or entering into a service agreement with MLM Bazaar, you agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
1. Services & implementation workflow
MLM Bazaar delivers managed, white-label, direct-selling, and MLM software solutions across supported plan models (Binary, Matrix, Unilevel, Monoline, Direct Selling/Ecommerce, Donation, and approved Custom plans).
Standard Implementation Process:
- Plan Discussion & Scope Alignment: Configuration requirements, branding, and compensation logic are defined.
- Demo Build & Configuration: Upon receipt of deposit, a working staging environment or customized demo is prepared.
- Client Testing & Approval: The Client is provided full access to perform user acceptance testing (UAT). While Client testing timelines may vary based on business readiness, typical testing and deployment windows range between 3 to 7 business days.
- Production Launch: Upon final approval and milestone payment, the system is deployed to the production environment under the Client's designated business domain.
2. Payment terms & deposit structure
Client agrees to the following structured payment milestone schedule unless explicitly modified in a written Service Agreement:
- 50% Initial Deposit: Payable prior to the initiation of software setup, branding, compensation plan logic configuration, and creation of a custom client demo.
- 50% Final Settlement: Payable upon completion of testing, system approval, and within a maximum of one (1) week (7 calendar days) of going live on production.
Failure to settle the remaining 50% balance within the mandatory 7-day post-launch window gives MLM Bazaar the right to suspend platform access, disable domain routing, or temporarily isolate hosted databases until outstanding dues are cleared.
Refunds are governed separately by our Refund Policy.
3. Intellectual property & software licensing
Software License Grant: Subject to full compliance with these Terms and payment of applicable fees, MLM Bazaar grants the Client a non-exclusive, non-transferable, non-sublicensable license to access and use the hosted software system for their operational business requirements.
Source Code & System Core Exclusion:
- Under no circumstances is underlying software source code, core proprietary engines, framework logic, database schemas, or platform architecture transferred, sold, or assigned to the Client.
- Client shall not decompile, reverse-engineer, disassemble, modify, create derivative works of, resell, lease, sublicense, or distribute the underlying software engine to any third party.
4. Data ownership & hosting portability
Data Ownership: The Client retains sole ownership of all operational, user, transaction, genealogy, and distributor data stored within their configured database instance.
Data Export Rights: Client may request or execute data exports (e.g., database dumps, CSV user lists, order histories) at any time, provided account obligations are current. Upon termination of service, MLM Bazaar will provide a complete data export upon request prior to server decommissioning.
5. Legal compliance & client responsibility
MLM Bazaar provides technology, software setup, and managed hosting infrastructure. We do not operate, audit, endorse, or certify the legal validity of Client compensation structures, business operations, or product catalogs.
Mandatory Disclaimer & Legal Responsibility:
MLM Bazaar provides software and implementation services. The
Client is solely responsible for obtaining professional legal,
tax, consumer-protection, payment, and sector-specific advice
and for ensuring that its business model, products, compensation
plan, advertising, and operations comply with applicable law,
including the Consumer Protection (Direct Selling) Rules, 2021
(as amended) and the Prize Chits and Money Circulation Schemes
(Banning) Act, 1978.
6. Hosting, domains & renewals
- Managed Hosting: Infrastructure, backups, SSL certificates, monitoring, and operational maintenance are managed by MLM Bazaar as part of the managed service package.
- Domain Registration: Domains registered or renewed by MLM Bazaar on behalf of the Client remain the property of the Client upon settlement of associated administrative costs. All domain registrations, DNS transfers, and third-party hosting fees are strictly non-refundable once processed.
- Subscription Renewals: Recurring platform fees must be paid prior to the renewal date to ensure uninterrupted system uptime and database accessibility.
7. Acceptable use policy
Clients and their end-users shall not utilize MLM Bazaar infrastructure to:
- Operate illegal financial pyramids, fraudulent money circulation schemes, or unverified investment pools.
- Transmit malicious code, perform unauthorized penetration testing, or overburden server resources.
- Distribute deceptive marketing, false income promises, or violate consumer rights under direct-selling guidelines.
Violation of acceptable use policies warrants immediate system suspension without refund eligibility.
8. Disclaimer of warranties & limitation of liability
Services are provided on an "AS IS" and "AS AVAILABLE" basis. MLM Bazaar disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose.
In no event shall MLM Bazaar, its directors, employees, or tech partners be liable for any indirect, consequential, incidental, or loss of profit damages arising from system downtime, internet outages, third-party gateway failures, or regulatory action against the Client's business. Total liability shall not exceed the amount paid by Client to MLM Bazaar in the preceding three (3) months.
9. Governing law & dispute resolution
These Terms shall be governed by and construed in accordance with the laws of India.
Dispute Workflow: In the event of any controversy or claim arising from these Terms, the parties agree to first attempt resolution through informal negotiation for a minimum period of thirty (30) calendar days.
Exclusive Jurisdiction: If informal negotiation fails, any legal suit, action, or proceeding shall be instituted exclusively in the competent courts located in Guwahati, Assam, India.
10. Grievance redressal mechanism
In compliance with consumer protection requirements and direct-selling regulatory reforms, MLM Bazaar maintains a designated Grievance Redressal mechanism.
Complaints or service disputes submitted to our Grievance Officer will be formally acknowledged within 48 hours of receipt, and resolved within statutory timelines.
